These General Terms and Conditions ("GTC") govern all sales, services, and deliveries provided by Sandfish Biomedical Solutions LLC ("Sandfish Biomedical," "we," or "us") to its customers ("Customer"). By purchasing products or services from Sandfish Biomedical, Customer agrees to be bound by these terms.

1.1 These GTC apply exclusively to all transactions with Sandfish Biomedical. Any terms and conditions provided by the Customer that deviate from these GTC are expressly rejected unless agreed to in writing.
1.2 These GTC apply to all current and future business transactions between Sandfish Biomedical and the Customer unless otherwise stated in a separate written agreement.
1.3 Sandfish Biomedical reserves the right to modify these GTC at any time. Updated versions will be posted on our website and apply to transactions initiated after the modification date.
2.1 Sandfish Biomedical provides consulting services, which may include but are not limited to grant writing, research and development (R&D), engineering, and prototyping. These services are performed on a best-effort basis, meaning that Sandfish Biomedical will use commercially reasonable efforts and professional judgment to provide high-quality services, but no specific outcome or result is guaranteed.
2.2 Consulting services are provided based on expertise and best intent; however, success in grant applications, product development, or any other intended outcomes cannot be assured.
2.3 Customers are responsible for providing accurate and complete information necessary for Sandfish Biomedical to deliver services effectively.
3.1 All pricing is provided in U.S. dollars and is subject to change without prior notice.
3.2 Payment is required at the time of purchase unless otherwise agreed in writing. Consulting services may require a deposit, with the balance due upon service completion.
3.3 Payments can be made via credit card, PayPal, or bank transfer. Customers are responsible for any processing fees.
3.4 Orders for digital products (e.g., templates) are non-refundable once the file has been accessed or downloaded.
3.5 Late payments for consulting services will incur a 1.5% monthly interest fee. Failure to pay may result in suspension of services and additional collection costs.
4.1 Digital products are delivered electronically via email or direct download. Customers are responsible for ensuring they provide a valid email address.
4.2 Physical products are shipped based on availability. Estimated shipping times will be provided at the time of purchase.
4.3 Customers are responsible for shipping costs unless stated otherwise. Risk of loss passes to the Customer upon delivery to the carrier.
4.4 If an order includes a consulting service, the timeline for delivery will be outlined in the service agreement. Delays caused by the Customer (e.g., failure to provide necessary materials) may impact delivery timelines.
5.1 All templates, consulting materials, and products developed by Sandfish Biomedical remain our intellectual property. Purchasing a template or products grants a non-exclusive, non-transferable license for personal or business use only.
5.2 Customers may not reproduce, distribute, or resell templates, products, or consulting materials without express written permission.
6.1 Sandfish Biomedical warrants that physical products will be free from material defects for 30 days from delivery. Defective products may be replaced or refunded at our discretion.
6.2 Consulting services are provided on a best-effort basis. Sandfish Biomedical makes no guarantees regarding grant approvals or funding outcomes.
6.3 Sandfish Biomedical is not liable for indirect, incidental, or consequential damages, including but not limited to lost profits, lost opportunities, or application rejections.
6.4 Customers assume full responsibility for their use of templates and all products and should seek appropriate professional guidance where necessary.
7.1 Any confidential information shared between Sandfish Biomedical and the Customer will be handled with reasonable care. Customers agree not to disclose any proprietary methodologies or consulting insights received.
7.2 Sandfish Biomedical reserves the right to reference completed projects in its marketing materials unless a non-disclosure agreement is in place.
8.1 These GTC shall be governed by the laws of the State of Colorado, without regard to conflict of law principles.
8.2 Any disputes arising from these GTC shall first be attempted to be resolved through good faith negotiation. If unresolved, disputes shall be settled through arbitration in Colorado.
9.1 If any provision of these GTC is found to be invalid or unenforceable, the remaining provisions shall remain in effect.
9.2 The Customer may not assign rights or obligations under these GTC without prior written consent.
9.3 These GTC represent the entire agreement between Sandfish Biomedical and the Customer and supersede all prior agreements.
